THIS IS A BINDING LEGAL AGREEMENT BETWEEN YOU AND HANTZ MOTION PICTURES, LLC, ITS SUBSIDIARIES, AFFILIATES, SITES AND ONLINE SERVICES (TOGETHER “HMP” or “HMP SERVICES”). YOU MUST READ THESE TERMS IN THEIR ENTIRETY. THIS AGREEMENT CONTAINS DISCLAIMERS AND LIMITATIONS OF LIABILITY
BY ACCESSING OR USING HMP SERVICES, YOU ACCEPT THE TERMS OF THIS AGREEMENT, INCLUDING RESTRICTIONS POSTED ON THE SERVICES.
IF YOU DO NOT AGREE TO, REFUSE TO, OR CANNOT COMPLY WITH THESE TERMS IN THEIR ENTIRETY, YOU MAY NOT USE THE SERVICES.
HMP reserves the right to make changes and updates these terms and its content. Any changes to these provisions will be incorporated into revised Terms that will be effective as posted.
You must review changes to these Terms when you access or re-access HMP services. You must stop using and accessing HMP services if you do not agree to, or cannot comply with the revised Terms.
HMP may deny your access to its services with or without notice.
Copyrights, trademarks, and other proprietary rights and laws protect HMP’s content. HMP reserves all rights.
You may not post any content you do not own or control on HMP’s sites and services. By posting on HMP sites and services, you grant HMP a perpetual license to use the content with or without attribution to you.
You may not copy, download, reproduce, republish, upload, post, transmit, distribute, sell, license, rent, publicly display or perform, edit, store, re-use, adapt, incorporate or create a derivative work of, in any manner, any HMP content except as expressly permitted herein.
HMP makes no guarantee that its content and services are appropriate for you or permitted in your jurisdiction. If any HMP content or service is not permitted in your jurisdiction or inappropriate for you, it is your responsibility to not access the content or service.
If downloads or other uses are permitted by HMP, that does not constitute a waiver of any HMP rights beyond your personal use of that content unless expressly stated otherwise.

You may link to HMP’s sites or services provided you are not bypassing any paywall or encouraging others to access protected content.
HMP reserves the right, in its sole discretion, to remove any content, including content you post, for any reason.
Postings are the responsibility of the poster, not HMP. You represent and warrant that you are the owner of, have the right to provide, and are responsible for any information or content you provide to HMP.
You grant HMP and its affiliates a worldwide, royalty-free, perpetual, irrevocable, fully sublicensable right to use in any way and to distribute any information that you post, upload or transmit to HMP sites and services.
Any interactive areas may have content that is inappropriate or harmful. HMP is not responsible for any user or third-party content whatsoever.
Use of some HMP services, including but not limited to the Best & Final store, may require payment, and to the extent such payment is facilitated by a third-party, their terms of service shall apply. Any specific transaction with terms in conflict with this agreement shall be governed by the terms therein to the extent of such conflict.
HMP may pursue any legal remedy for violations of the terms of this agreement. Unauthorized access to any HMP sites, services, and the distribution of HMP content without permission is strictly forbidden. HMP retains the right, in its sole discretion, to prohibit access to anyone for any reason, including for violation of these terms.
HMP and its affiliates, members, subsidiaries, officers and agents are not responsible for any: viruses, bugs, harmful content, interruption of services, act or omission of any third-party, advice, opinions, third-party content, malfunctions, or user content whatsoever.
Your access to third-party links will be governed by the terms and policies of the third-party upon access.
Any links, banners, and third-party content available on HMP sites does not constitute endorsement. HMP is not responsible for any content from any third-party, even it appears on HMP’s sites.
HMP may terminate any third-party content, any content you provide, or any HMP content provided on its sites and services at any time.
HMP services may request that you provide us with certain personal information. You agree to provide accurate and current information and to update it as necessary to maintain its accuracy. You may not provide HMP with false information. You may not provide any information you are not authorized to provide.
If you provide your email to HMP, you consent to its use for promotional and other HMP purposes.
HMP will not be responsible for any losses arising out of the unauthorized use of your information. You agree to indemnify and hold harmless, HMP, its Affiliates, members, employees, agents and/or users, harmless from any claim, action or damages related to unauthorized use of your information.
HMP may collect different types of information about your location, including general information, such as the city, state and/or zip code associated with your IP Address, and, if you agree, more specific location information that is provided through the GPS functionality on mobile devices used to access the HMP services. HMP may use such location information to customize the HMP services, including advertising that is presented to you. For example, if you provide a zip code that indicates that you live in Michigan, the HMP services may be customized with Michigan-specific information, features, and ads. In order to do this, your location information may be passed along to our affiliates, agents, vendors or advertisers.
HMP may obtain information about you or your use of the HMP services from third parties and sources, including our vendors. You may give us permission to access your information from services offered by third parties, including social media networks. The information we obtain from third party services depends on your account/privacy settings with those third parties and the third parties’ privacy policies. When you access the HMP services through social media networks and other third party platforms, you are authorizing HMP to collect, store and use such information and content in accordance with this policy. Please keep in mind that any information provided to us by a third party may also be subject to that third party’s policy.
HMP may use aggregated and/or de-identified data or other data that is not personally identifiable for any purpose. If you do not agree or do not consent to the use of your information in these ways, you should not use the HMP services.
HMP may share or disclose your information if you ask or authorize us to do so.
HMP may share your information with third-parties consistent with the terms herein. HMP may engage third party service providers to perform services and functions and share information with such third-parties.
Third-party services, vendors, partners, and content linked to or provided by HMP may track your activity, including through the use of cookies or similar technology.
HMP is not responsible for the privacy practices or the content of third-parties, even if links are found on HMP sites and services. This policy applies solely to information collected by us through the HMP services and does not apply to third party websites or applications. The ability to access third party information from the HMP services and to link to other websites and locations from the HMP services does not make HMP responsible for their services or third-party use of you information.
HMP will use reasonable efforts to protect your privacy, but HMP is not responsible for any third-parties unauthorized use of your personal information. It is incumbent on you to protect your own personal information.
HMP’s sites, services, and messages may record your interactions with them, and may collect information about you to better improve HMP services and advertising. HMP may use first and third-party cookies that may exist beyond the duration of your use of HMP’s sites and services.
HMP and third-party partners and services may use tracking technologies to collect information. This information may be used for many reasons, such as to enhance the performance of HMP’s sites and services and to deliver advertising. HMP may share this information with third parties.
Ads on HMP’s sites may come from third-party services.
You may have a choice about whether to have your information collected in the settings on your device(s). You may be able to refuse or delete all cookies on your devices or to utilize third-party services and software, but this may negatively affect your experience with HMP’s sites and services. HMP is not responsible for the functionality of your device. You may choose to block cookies. HMP is not responsible for the functionality or defects of such cookie blockers or their impact on its services.
HMP does not respond to Do Not Track signals.
HMP reserves the right to retain and disclose your information at our discretion if we believe in good faith that such retention and disclosure is necessary to: (a) comply with relevant laws or to respond to subpoenas, warrants or similar process served on us; (b) protect and defend our rights or property, you, or third parties; or (c) ensure the safety and security of our HMP services, systems and of our customers and third parties.
HMP may limit the website’s availability, in whole or in part, concerning any person, geographic area or jurisdiction, at any time in its sole discretion.
HMP may assign this agreement to anyone at any time. You may not assign this agreement without HMP’s written consent. You agree that, except for as otherwise expressly provided in the Terms, there shall be no third-party beneficiaries to this Agreement.
To the extent permitted by law, all claims against HMP musts be initiated within one year from the alleged cause of action.
HMP may seek equitable relief for any breach of these terms or infringement of its intellectual property rights.
HMP shall not have any liability to you by reason of any delay or failure to perform any obligation to events outside HMP’s control.
You agree to defend, indemnify and hold harmless HMP for any and all claims arising out of your breach of this agreement or your use of HMP’s services or content, including reasonable attorneys fees.
You expressly waive any right to adjudicate as a class and will not bring a class action against HMP.
If a court of competent jurisdiction determines that any part of this agreement is void or unenforceable, it shall not affect the validity of the remainder of this agreement and must be construed as narrowly as possible to effectuate the full effect and intent of these terms.
HMP’s content, sites and services are intended for the United States. U.S. law may not offer the same privacy protections as those in your country. If you access HMP sites or us HMP services from outside of the United States, you consent to the transfer of any information and waive any other jurisdiction’s requirements. If you choose to access the HMP services from locations outside the United States, you do so voluntarily, and are responsible for compliance with local laws if and to the extent local laws are applicable. HMP is located and its sites and services originate in the United States, and these Terms shall be governed by and construed in accordance with the laws of the State of Michigan applicable to contracts made and wholly performed therein, without regard to its choice of law jurisprudence.
HMP SERVICES ARE PROVIDED AS IS. HMP SERVICES AND CONTENT ARE PROVIDED WITHOUT EXPRESS OR IMPLIED WARRANT AS TO OF ANY CONTENT’S ACCURACY OR ITS SUITABILITY FOR ANY PARTICULAR PURPOSE. HMP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT ALLOWED BY LAW, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF QUALITY, MERCHANTABILITY, SATISFACTION, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT.
IN NO EVENT WILL HMP, ITS AFFILIATES, SUBSIDIARIES, MEMBERS, EMPLOYEES OR AGENTS BE LIABLE TO ANY USER FOR ANY DIRECT, SPECIAL, INDIRECT, PUNITIVE, CONSEQUENTIAL, OR INCIDENTAL DAMAGES OR ANY OTHER LOSS OR DAMAGES OF ANY KIND REGARDLESS OF WHETHER BEING ADVISED OF THE POSSIBILITY THEREOF.
